1. Acceptance of Terms

By using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree with these Terms, you may not use the Service.

2. Service Description

ThinkForm is a Legal Performance Intelligence Platform that provides law firms with AI-driven analytics, financial intelligence, workflow automation, and operational insights. The Service is hosted on AWS U.S. regions and is designed to improve law firm decision-making and performance.

3. Eligibility & Account Registration

• You must be at least 18 years old to use ThinkForm.
• Accounts must be registered by law firms or authorized representatives.
• You are responsible for maintaining the security of your account credentials.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Fees & Payment

• Subscription & Pricing: ThinkForm operates on an annual subscription model, with Founding Partners receiving an exclusive discounted rate.
• Payment Terms: Payments are due upfront for the subscription period and are non-refundable.
• Renewals: Your subscription will automatically renew unless you notify us before the renewal date.
• Failure to Pay: Accounts with unpaid fees may be suspended until payment is received.

5. Data Ownership & Privacy

• Your Data: Law firms retain full ownership of their data.
• Data Security: We use encryption and isolation mechanisms to protect law firm data.
• Data Retention: Law firms can request data deletion, otherwise, data is retained for 90 days after subscription cancellation.
• Compliance: ThinkForm complies with U.S. data privacy laws and attorney-client privilege protections.

6. Acceptable Use Policy

By using ThinkForm, you agree to:

• Use the Service only for lawful purposes
• Not engage in unauthorized data access, reverse engineering, or reselling of the Service
• Not upload any malicious code or attempt to disrupt the platform
• Respect confidentiality and privacy obligations

We reserve the right to suspend or terminate accounts that violate this policy.

7. Service Availability & Modifications

• We strive to maintain 99.9% uptime but do not guarantee uninterrupted access.
• We may update or modify features without prior notice.
• ThinkForm is not liable for any downtime, data loss, or service interruptions caused by technical failures.

8. Third-Party Integrations

• ThinkForm integrates with third-party tools such as QuickBooks, Clio, CASEpeer, and Plausible Analytics.
• We are not responsible for the functionality, security, or data policies of third-party providers.

9. Limitation of Liability

• ThinkForm is provided on an "as-is" and "as-available" basis.
• We are not liable for any direct, indirect, incidental, or consequential damages resulting from your use of the Service.
• Our liability is limited to the fees paid in the last 12 months.

10. Indemnification

You agree to indemnify and hold Nomadic Trader LLC harmless from any claims, losses, or damages arising from:

• Your use or misuse of the Service.
• Your violation of these Terms.
• Any unauthorized access or security breaches caused by your negligence.

11. Termination & Cancellation

• Termination by User: You may cancel your subscription at any time.
• Termination by ThinkForm: We may suspend or terminate your account if you violate these Terms.
• Effect of Termination: Upon termination, access to the Service is revoked, and all data will be deleted after 90 days unless immediate deletion is requested.

12. Dispute Resolution & Governing Law

• Governing Law: These Terms are governed by the laws of Wyoming, USA.
• Dispute Resolution: Any disputes will be resolved through binding arbitration in Wyoming.

13. Changes to These Terms

• We may update these Terms from time to time.
• Continued use of the Service after changes constitutes acceptance of the new Terms.
